Terms of service
Effective September 13, 2026
These terms are an agreement between you and Neugent AI LLC (“Neugent,” “we,” “us”) for the use of Neugent. If you use Neugent for a company, you agree for that company and confirm you may. If you do not agree, do not use Neugent.
1. The service
Neugent helps businesses capture, contact, and follow up with leads, hold conversations, place calls, book meetings, and work with connected services such as calendars, mailboxes, and CRMs. Features depend on the plan an organization is on. We may improve, change, or retire features; if we remove something material from a paid plan, we will tell account owners in advance.
2. Accounts and organizations
- You must give accurate information, keep your password safe, and tell us at support@neugent.ai about any unauthorized use.
- An organization's owners decide who joins and what role they have, and are responsible for what members do in the organization.
- You must be at least 18 and able to enter a contract.
3. Your data
Your organization owns the data it puts into Neugent (“customer data”). You give us permission to host, copy, process, and transmit customer data only as needed to provide, secure, and support Neugent, and as our privacy policy describes. You are responsible for having the right to use the customer data you bring, including permission to contact the people in it.
You can export leads and delete your organization at any time from Neugent. Deleting an organization permanently removes its data from the live service.
4. Messages, calls, and consent
Neugent sends the emails and texts and places the calls you set up, from your accounts and numbers. You are responsible for following the laws that apply to them, including the CAN-SPAM Act, the Telephone Consumer Protection Act, state calling and texting rules, and anti-spam and privacy laws where your recipients live. That includes getting consent where it is required, honoring opt-outs, identifying your business, and telling people when a call is recorded. Neugent adds unsubscribe links to automated emails and keeps suppression lists, but those tools do not replace your own compliance.
5. Acceptable use
You may not use Neugent to:
- send spam, or contact people who have opted out;
- break the law, infringe others' rights, or deceive or harass anyone;
- upload malware or content you have no right to share;
- probe, overload, or get around the security or limits of Neugent or another organization's data;
- copy, resell, or build a competing product from Neugent, or scrape it; or
- use connected services in a way their own terms forbid.
We may suspend activity that breaks these rules or puts the service or others at risk, and will tell you why unless the law or security prevents it.
6. Connected services
When you connect Google, Microsoft, a CRM, a phone provider, or another service, your use of that service is governed by its own terms, and you authorize Neugent to access it on your behalf for the features you use. We are not responsible for those services, and a connection may stop working if the provider changes or withdraws access.
7. AI features
Some features use AI models to answer questions, draft messages, and summarize. AI output can be incomplete or wrong, so review it before relying on it or sending it. You are responsible for what you choose to send. Your organization can require approval before messages go out.
8. Plans, fees, and billing
- Paid plans are billed in advance each month through Stripe and renew automatically until cancelled.
- You can cancel from Settings → Billing; the plan stays active until the end of the paid period. Fees already paid are not refunded, except where the law requires.
- Plans include usage limits, such as leads stored and messages or calls per month. Reaching a limit pauses that kind of work until the next month or an upgrade.
- If a payment fails or a subscription ends, we may pause the organization until it is paid. Your data is kept while an account is paused.
- Prices do not include taxes, which you are responsible for. We will give at least 30 days' notice of a price change, effective at your next renewal.
9. Ending the agreement
You can stop using Neugent and delete your organization at any time. We may suspend or end your access if you materially break these terms and do not fix it after notice, or immediately if the law requires it or your use threatens the service or others. Sections that by their nature should survive, such as data responsibilities, disclaimers, limits of liability, and governing law, survive.
10. Disclaimers
Neugent is provided “as is” and “as available.” To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise that Neugent will be uninterrupted or error-free, that any message will be delivered, or that it will produce any particular business result.
11. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, and our total liability for any claim relating to Neugent is limited to the fees you paid us in the 12 months before the claim arose, or US$100 if you paid nothing. These limits do not apply to your payment obligations, your breach of sections 4 or 5, or liability that cannot be limited by law.
12. Indemnity
You will defend and indemnify Neugent AI LLC against claims by third parties arising from your customer data, the messages and calls you send through Neugent, or your breach of these terms, and pay resulting damages and reasonable costs.
13. Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in California, and both parties consent to their jurisdiction.
14. Changes to these terms
We may update these terms. We will post the new version here with a new effective date, and for material changes tell account owners by email or in Neugent at least 30 days before they take effect. Continuing to use Neugent after that means you accept them.
